This Conflict-of-Interest Policy is established to ensure that all employees, contractors, and consultants of Shandong Boyu Heavy Industry Technology Group Co., Ltd. (“the Company”) conduct business activities with integrity, objectivity, and independence, and remain free from any actual, potential, or perceived conflicts of interest.
制定本利益冲突政策旨在确保山东博宇重工科技集团有限公司(以下简称“公司”)的所有员工、承包商及顾问在开展业务活动时保持诚信、公正与独立,并避免出现任何实际的、潜在的或被认为存在的利益冲突。
This policy applies to all employees, managers, directors, contractors, temporary workers, and external consultants engaged by the Company.
本政策适用于公司聘用的所有员工、管理人员、董事、承包商、临时工作人员及外部顾问。
利益冲突的定义**
A conflict of interest occurs when an individual’s personal interests, relationships, or external activities interfere—or appear to interfere—with the interests of the Company.
当个人的私利、关系或外部活动干扰到或看似可能干扰到公司利益时,即构成利益冲突。
Examples include but are not limited to:

Financial Interests — Owning shares or financial interests in a competitor, supplier, or customer.
财务利益——在竞争对手、供应商或客户中持有股份或财务利益。
Personal Relationships — Close relatives or friends working for or owning companies that do business with the Company.
个人关系——近亲或朋友在与公司交易的企业任职或持股。
Gifts & Hospitality — Accepting excessive gifts, payments, commissions, or hospitality from business partners.
礼品与招待——接受来自业务伙伴的过度礼品、佣金或宴请。
Outside Employment — Engaging in external work that competes with or negatively affects the Company’s interests.
外部兼职——从事与公司利益相冲突或可能影响公司利益的外部工作。
政策要求**
All employees and contractors must avoid any situation that may create a conflict of interest and must not engage in activities that compromise the Company’s interests.
所有员工与承包商须避免任何可能产生利益冲突的情形,不得从事损害公司利益的活动。
Employees and contractors must immediately disclose any actual or potential conflict of interest in writing to the Compliance / HR Department.
如存在任何实际或潜在的利益冲突,员工及承包商必须立即以书面形式向合规部/人力资源部进行披露。
No individual may use their position to influence purchasing, contracting, hiring, or other business decisions for personal gain.
任何个人不得利用自身职位影响采购、合同签署、招聘或其他业务决策以谋取私利。
Employees and contractors may not solicit or accept gifts, hospitality, commissions, kickbacks, or payments that could influence business judgment.
员工与承包商不得索取或接受可能影响业务判断的礼品、招待、佣金、回扣或费用。
Outside employment or consulting activities must not conflict with the Company’s business or impair the individual’s performance.
外部工作或咨询活动不得与公司的业务冲突,也不得影响个人履行职责。
报告与调查**
Any employee or contractor who becomes aware of a potential conflict must report it to management or the Compliance Department.
员工或承包商如发现可能存在利益冲突,应及时向管理层或合规部报告。
Reports will be handled confidentially and investigated promptly.
所有报告将严格保密并及时调查处理。
违规处理**
Violations of this policy may result in disciplinary actions, including warnings, termination of employment, termination of contract, and legal action where appropriate.
违反本政策者可能面临纪律处分,包括警告、解除劳动合同、解除承包合同,以及必要时采取法律措施。
确认与遵守**
All employees, contractors, and consultants must sign a Conflict-of-Interest Declaration confirming their understanding and compliance with this Policy.
所有员工、承包商及顾问均需签署《利益冲突声明书》,确认理解并遵守本政策。
